Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the Axiom Dealer Intelligence platform (“Axiom”, “Service”). By using the Service, you agree to these Terms.
1. The Service
Axiom is a subscription software platform that provides reporting, campaign execution, customer engagement tracking, communications, and related tools for dealership operations.
2. Eligibility and Account Access
You must be authorized by your dealership or organization to access the Service. You are responsible for safeguarding login credentials and for all activity conducted under your account.
3. Subscription, Fees, and Payment
The Service is billed as a subscription based on the plan you select and any applicable add-ons or usage charges. Fees are due as invoiced. We may suspend or terminate access for non-payment.
4. Messaging and Compliance
If you use Axiom to send email or SMS, you represent and warrant that you have the legal right and required permissions/consents to send such communications to recipients. You agree to honor opt-outs and to follow applicable anti-spam and privacy laws.
5. Acceptable Use
You agree not to:
- Use the Service for unlawful purposes or to violate third-party rights.
- Reverse engineer, copy, resell, or exploit the Service except as permitted by law.
- Disrupt service availability, probe security, or introduce malware.
- Access data outside of your authorized dealership/group scope.
6. Data and Content
Dealerships retain ownership of their customer and operational data. You grant us permission to process data solely to provide and improve the Service, including generating analytics, reports, and engagement tracking.
7. Third-Party Services
The Service may integrate with third parties (e.g., messaging providers and QuickBooks Online). Third-party services are governed by their own terms, pricing, and availability. We are not responsible for third-party outages or changes.
8. Availability and Changes
We may update, change, or discontinue features to improve the Service. We aim for high availability but do not guarantee uninterrupted access.
9. Disclaimer of Warranties
The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of Liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits/revenue, business interruption, or data loss.
Our total liability for all claims arising out of or related to the Service will not exceed the fees paid by Customer to us in the three (3) months immediately preceding the event giving rise to the claim.
11. Termination
We may suspend or terminate access for breach of these Terms, non-payment, or misuse. Upon termination, your right to use the Service ends.
12. Governing Law
These Terms are governed by the laws of Ontario, Canada, without regard to conflict-of-laws principles, unless otherwise required.
13. Changes to Terms
We may update these Terms from time to time. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
